1.1 Key Definitions

• “Upfame” (referred to as "the Website", "the Panel", “We”, “Us” or “Our" in this Agreement) is owned and operated by Foxy Media Labs.
• “Services” means digital marketing and promotional services provided by Upfame, including campaign amplification, visibility enhancement, and engagement-related solutions offered through the Upfame platform.
• “User” / “Client” (referred to as “User", "Client", “You” or “Your" in this Agreement) refers to the individual accessing or using the Services, the company, or other legal entity on behalf of which such individual is accessing or using Upfame''s Services, as applicable.
• “Upfame Balance” refers to the internal, non-transferable store credit system where Users deposit funds to purchase Services. Upfame Balance is strictly non-withdrawable, has no cash value, and can only be utilized for Services offered on the Panel. These credits do not expire as long as the account remains active, but they cannot be transferred between different User accounts.
• “Terms of Service” (also referred to as “Terms”) mean these Terms of Service that form the entire agreement between You and Upfame regarding the use and access of our Services.
• “Third-Party Platforms” means external platforms such as Meta (Facebook, Instagram), TikTok, X (Twitter), YouTube, LinkedIn, or similar services.

1.2 Legal Position

• Upfame operates as an independent digital marketing service provider.
• Users are solely responsible for ensuring that their use of the Services complies with applicable laws and third-party platform policies.
• Upfame does not encourage or support illegal, deceptive, or unethical activities.

By accessing or using the Upfame Website and Services, You acknowledge that You are at least 18 years old and You have read, understood, and agree to be bound by these Terms of Service. If You do not agree with any part of these Terms, You must not use Our Services. Any new features or tools which are added to the current Services shall also be subject to the Terms of Service. You can review the most current version of the Terms at any time on this Website. We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to Our Website. It is the User’s responsibility to check this page periodically for changes. Continued use of the Services or access to the Website following the posting of any changes constitutes acceptance of those changes.

• Upfame provides promotional and marketing services intended to assist Users in increasing online visibility and campaign reach.
• Services are provided solely for promotional purposes and are not affiliated with or endorsed by any Third-Party Platform.

3.2 No Platform Affiliation

Upfame is not affiliated with, sponsored by, or endorsed by any Third-Party Platform.

3.3 Results Disclaimer

• Services are provided on an “as-is” and “as-available” basis.
• Results may vary depending on platform conditions and user content.
• No guarantees are made regarding permanence, reach, or performance outcomes.
• Users acknowledge that Third-Party Platforms operate independently and may modify their systems, policies, or enforcement practices at any time.

4.1 Lawful Use

User agree not to use the Services for:

• Illegal or fraudulent activities
• Impersonation or unauthorized account use
• Defamatory, abusive, or harmful content
• Intellectual property violations
• Political manipulation or misinformation

4.2 Account Authorization

• User confirm that they own or are authorized to promote the accounts submitted.
• Upfame may suspend services if authorization is disputed.

4.3 Payment Integrity

• User must ensure that all payments are authorized and lawful.
• Fraudulent transactions may result in account suspension and appropriate action as permitted by law.

Upfame and its owners shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, visibility, or reputation. We assume no responsibility for actions taken by Third-Party Platforms, such as account restrictions, shadowbans, or deletions, nor for platform algorithm changes or service interruptions beyond our reasonable control.

You agree to indemnify, defend, and hold harmless Upfame and its affiliates from and against any claims, liabilities, damages, or expenses arising from Your misuse of the Services, Your violation of these Terms, or Your infringement of any third-party rights, including intellectual property or platform-specific rules.

All Services are purchased using funds from Your Upfame Balance. All funds deposited in Upfame Balance are non-refundable. Once a deposit is made, it cannot be withdrawn to Your bank account or payment source.

7.1 Refunds

• Once a service has been delivered, it is considered as fulfilled.
• Refunds are only provided for unfulfilled or partial orders.
• Approved refunds are provided solely as Upfame Balance and are processed within 24–48 hours.

7.2 Chargebacks & Disputes

• Unauthorized chargebacks or payment disputes may result in account review or suspension.
• Upfame reserves the right to respond to disputes using transaction records, delivery logs, and user confirmations.

• Upfame may modify, suspend, or discontinue Services due to operational, regulatory, or technical reasons.
• Service interruptions caused by external factors do not entitle users to compensation.

• This Agreement is governed by the laws of India.
• Courts located in Kollam, Kerala shall have exclusive jurisdiction.

Upfame may suspend or terminate accounts if user:

• Violate these Terms
• Engage in fraudulent activity
• Abuse payment or dispute mechanisms

• Upfame collects limited user data necessary for service delivery and compliance.
• Sensitive payment data is not stored.
• Data is handled in accordance with applicable Indian data protection laws.

• Upfame reserves the right, at its sole discretion, to modify or replace these Terms and the content of the Website, including prices, at any time.
• By continuing to access or use Our Services after those revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new terms, in whole or in part, please stop using the Website and the Services.
